General Introduction and Scope

I/We/Stoxsense offers two distinct service categories: (a) SEBI-regulated research services, including non-personalised trading calls; and (b) Investor-education courses. The scope of both the services are slightly different and are mentioned in each of the respective sections.

The terms applicable to one service category shall not automatically apply to the other service category. Purchasing an education course does not provide access to research calls, and purchasing research services does not automatically include an education course unless expressly stated.

Any material changes to all these ‘Terms of Use’ will be published with a revised effective date. Changes to voluntary clauses applicable to RA research services will be preceded by at least 7 days’ notice, as required. By registering on our website, or availing any of our services, all visitors and subscribers to our site shall be deem to have accepted the same.

In case of any inconsistency, applicable law and mandatory SEBI/RAASB requirements shall prevail, followed by the specific terms applicable to the service purchased, the Cancellations & Refund Policy and thereafter the general provisions of these Terms.

Governing Law & Jurisdiction: The use of this website and any disputes arising from it shall be governed by the laws of India and subject to the exclusive jurisdiction of the courts in Bhilai, Chhattisgarh only.

Personal / Company Disclosure

Most Important Terms and Condition (SEBI Circular)

This section applies only to clients receiving RA research services. It does not apply merely because a person visits the website or purchases an education-only course.

1. These terms and conditions, and consent thereon are for the research services provided by the Research Analyst (RA) and RA cannot execute/carry out any trade (purchase/sell transaction) on behalf of, the client. Thus, the clients are advised not to permit RA to execute any trade on their behalf.

2. The fee charged by RA to the client will be subject to the maximum of amount prescribed by SEBI/ Research Analyst Administration and Supervisory Body (RAASB) from time to time (applicable only for Individual and HUF Clients). Note:

2.1. The current fee limit is Rs 1,51,000/- per annum per family of client for all research services of the RA.
2.2. The fee limit does not include statutory charges.
2.3. The fee limits do not apply to a non-individual client / accredited investor.

3. RA may charge fees in advance if agreed by the client. Such advance shall not exceed the period stipulated by SEBI; presently it is one quarter. In case of pre-mature termination of the RA services by either the client or the RA, the client shall be entitled to seek refund of proportionate fees only for unexpired period.

4. Fees to RA may be paid by the client through any of the specified modes like cheque, online bank transfer, UPI, etc. Cash payment is not allowed. Optionally the client can make payments through Centralized Fee Collection Mechanism (CeFCoM) managed by BSE Limited (i.e. currently recognized RAASB).

5. The RA is required to abide by the applicable regulations/ circulars/ directions specified by SEBI and RAASB from time to time in relation to disclosure and mitigation of any actual or potential conflict of interest. The RA will endeavor to promptly inform the client of any conflict of interest that may affect the services being rendered to the client.

6. Any assured/guaranteed/fixed returns schemes or any other schemes of similar nature are prohibited by law. No scheme of this nature shall be offered to the client by the RA.

7. The RA cannot guarantee returns, profits, accuracy, or risk-free investments from the use of the RA’s research services. All opinions, projections, estimates of the RA are based on the analysis of available data under certain assumptions as of the date of preparation/publication of research report.

8. Any investment made based on recommendations in research reports are subject to market risks, and recommendations do not provide any assurance of returns. There is no recourse to claim any losses incurred on the investments made based on the recommendations in the research report. Any reliance placed on the research report provided by the RA shall be as per the client’s own judgement and assessment of the conclusions contained in the research report.

9. The SEBI registration, Enlistment with RAASB, and NISM certification do not guarantee the performance of the RA or assure any returns to the client.

12. The RA shall never ask for the client’s login credentials and OTPs for the client’s Trading Account Demat Account and Bank Account. Never share such information with anyone including RA.

Education Services Specific Terms and Disclaimers

1. Nature of education services: Education courses are provided solely for investor education and skill development. They may explain trading concepts, technical-analysis methods, strategy rules, risk-management principles, trading psychology, backtesting methods and historical case studies.

2. Separate service: Enrolment in an education course does not, by itself, constitute subscription to StoxSense research services. A learner wishing to receive regulated research calls must subscribe separately and complete the applicable RA onboarding process.

3. No current recommendation: Education services do not include a current buy/sell/hold recommendation, entry level, price target, stop-loss target, current options strike or expiry recommendation, model portfolio or current watchlist.

4. Historical illustrations: Historical security examples are used only to explain course concepts. The securities quoted are for illustration only and are not recommendatory.

5. Price-data restriction: Security-specific market data used for educational purposes will observe the minimum delay prescribed by SEBI, presently 30 days. Live or near-live market price data will not be used under the education service to indicate a future price, current trading opportunity, advice or recommendation concerning a security.

6. No personalised advice or suitability assessment: The education service does not consider a learner’s income, financial goals, portfolio, capital, tax position, loss-bearing capacity or personal circumstances and does not determine whether a security, derivative, strategy or position size is suitable for a learner.

7. Mentorship and doubt-clearing boundary: Mentorship and doubt-clearing are limited to explaining the curriculum, methodology, historical examples and general risk controls. Questions requesting a current security recommendation, review of a live position, portfolio advice or personalised trading instruction will not be answered under the education service.

8. No trading calls or execution: Education services do not include live trading calls, operation of an account, trade execution or access to a learner’s trading account, demat account, bank account, password, PIN or OTP.

9. No assurance of results: No course, strategy, indicator or risk-management process can guarantee profits, prevent losses or produce a fixed level of return or accuracy. Past performance is not indicative of future results.

10. Backtesting and hypothetical results: Backtests and hypothetical illustrations are affected by assumptions, data selection, transaction costs, taxes, slippage, liquidity and execution differences. They do not represent actual or expected future performance. A disclaimer does not permit an otherwise prohibited public return, performance or accuracy claim.

11. Securities and derivatives risks: Trading in securities and derivatives involves substantial risk. A learner may lose part or all of the capital deployed, and certain leveraged or uncovered positions may produce losses exceeding the amount initially committed.

12. Independent responsibility: Learners remain responsible for independently evaluating course concepts, deciding whether to trade and determining their position size. Course material must not be relied upon as the sole basis for a present investment or trading decision.

13. SEBI-status clarification: SEBI registration, BSE enlistment and NISM certification relate to the provider’s regulated Research Analyst activities. They do not constitute SEBI, BSE or NISM approval, accreditation, certification or endorsement of an education course or strategy.

14. Course-completion acknowledgement: Any course-completion acknowledgement only confirms participation in or completion of the course. It is not a SEBI, NISM, exchange or government certification and does not authorise the learner to provide research recommendations or investment advice.

15. Third-party information and technology: Course material may contain information, charts, software or third-party services considered reliable at the time of preparation. Availability, accuracy and completeness are not guaranteed. Third-party names and trademarks remain the property of their respective owners.

How long we retain your data
